（一）顾问方律师的服务内容为协助客户方处理日常法律事务，包括：
1、应要求为客户方提供中英双语法律服务，解答法律问题，并就客户方提出的法律问题提供法律意见或建议；
2、应客户方要求，参与客户方作为一方主体的法律谈判，起草、修改、审查合同、协议等法律文件或者准备谈判所需的法律文件；
3、提供与客户方法律事务管理相关的法律信息；
4、协助建立法律文档，建立法律风险预警机制；
5、为客户方提供法律咨询服务；
6、参与客户方的重要法律事务，必要时提供全程法律服务；
7、提供法律意见书、律师建议书，律师见证书、律师函等法律文件；
8、为客户方建立和完善内部规章制度和运行机制；
9、开展法律调查；
10、代客户方办理有关法律事务；
11、顾问方代理客户方参加调解、仲裁、诉讼活动时，客户方须另行向顾问方支付相应的律师代理费，顾问方同意给予20%的优惠，并优先为客户方办理上述案件。若客户方有特殊服务要求，如涉及长期投资、融资、企业改制、重组、购并、破产、股票发行、上市等专项法律顾问事务的，双方可另行协商收费。 
（二）顾问方承诺在下列时限内办结客户方所委托事项：
1、紧急事项1个工作日内完成；
2、普通事项3个工作日内完成；
3、非紧急事项5个工作日内完成；
4、顾问方提供服务须符合客户方所要求标准。
（三）妥善处理及保密条款
顾问方将不会代理其他任何与委托方项目相关的实体单位，包括为仲裁或诉讼中客户方的对立方提供法律服务。顾问方应向客户方承担作为律师职业所应承担的义务，包括妥善处理客户方委托事务以及保密的义务。顾问方对从客户方所知悉的机要信息承担妥善的保密义务。

SERVICE PROGRAM
(一)The lawyers of Advisor is to assist Client in handling the following routine legal matters, including :
1. Provide Chinese-English bilingual legal service upon client’s need, Answer questions on legal issues from Client and give opinions or advice on such issues;
2. Upon Client’s request, participate in business negotiations, in which Client is a party, and be concerned with drafting, modification, reviewing and examination of the legal documents such as contracts and agreements or prepare legal documents needed in the negotiations;
3. Provide legal information pertained to Personnel and Labor management of Client;
4. Help to set up files of legal documents and alarming mechanism of legal risk;
5. Render legal consultancy for legal issues of Client;
6. Participate in important legal activities of Client, offering all-time-follow-up services if necessary;
7. Provide legal documents such as legal opinion, lawyer’s advice, lawyer’s witness letter and lawyer’s letter etc;
8. Establish and perfect the internal rules, regulations and running mechanism of Client;
9. Launch legal investigation for the client;
10. Handle legal affair for the client;
11. Advisor is entitled to charge Client attorney fees for Advisor’s agency in the mediation,arbitration and litigation cases. A discount of 20% shall be given to such fees according to the Fee Schedule of Advisor and priority shall be given in dealing with such cases. If Client needs any other special services involving long-term investment, financing, corporate restructuring, reorganization, acquisitions, bankruptcies and stock issuance and listing, etc., other charge rate can be agreed upon by the Parties.
Advisor guarantee to finish issues with time limits.
(二) The advisor undertook in the following matters completed within a time limit:
1. urgent matters within 1 working day to complete.
2. ordinary matters within 3 working days to completed
3. non-urgent matters within 5 working days to complete.
Services provide by the advisor should meet with client’s requirement.
(三)Duty of care and confidentiality
The Advisor will not represent any entity other than the Client in respect of legal matters relating to the client. The Advisor owes the Client the normal duties owed by a solicitor to his client, including a duty of care and a duty of confidentiality.  Where the advisor receives information which is confidential to the Client, he will owe the Client a duty to preserve the confidentiality of that information.
